Elon Musk, Twitter at Odds over Terms of Agreement to Close a Deal

In recent weeks, a series of calls resulted in informal discussions about a possible price reduction to the $44 billion Twitter deal.

Representatives of Elon Musk, Twitter Inc. and Twitter Inc. are still trying to negotiate terms that would allow the purchase of the social media company to proceed. This continues a long drama surrounding the fateful blockbuster deal.
As a courtroom battle draws near, these are the latest talks between the two sides. They had unsuccessful talks about a possible reduction in the price of the social-media platform to $44 billion. However, Musk changed his mind Monday and said that he would return the original terms of the agreement.
Representatives of Mr. Musk’s and Twitter were trying to work out details of his proposal to keep to the original agreement as of Wednesday night, according to people familiar with the matter. Some people stated that sticking points include the requirements for both sides to resolve the litigation regarding the stalled deal. They also need to decide if Mr. Musk will receive the required debt financing.
Initial hope was that a deal could be reached Tuesday/ Wednesday, which would have prevented a trial set to begin Oct. 17, according to people. Some people claimed that the two sides agreed to postpone Mr. Musk’s deposition in Texas. This was to allow them to continue negotiations on how to move forward.
According to people, informal discussions about a reduction in the $44 billion purchase price took place in a series conference calls between lawyers. The talks ended after the parties failed to agree on terms of any potential deal.

The price-cut negotiations had already broken off before Musk caught Twitter off guard by sending a two-sentence email to Twitter’s lawyers proposing to continue on the original terms.
Many observers were surprised Monday by Mr. Musk’s apparent shift of heart. After claiming that Twitter had misled him about key aspects of its business, including how much spam it was allowing on its platform, Tesla Inc.’s chief executive had been trying to rescind the deal for several months.
In July, Mr. Musk made a formal request to withdraw from the deal. Twitter sued him to force him to fulfill the agreement on the terms. Mr. Musk countered, claiming that Twitter misrepresented its business and key metrics about its users. This claim was denied by Twitter.

The Delaware Chancery Court judge who is presiding over the legal battle continues to make preparations for trial.
As the two sides prepare to go on a five-day nonjury trial in Wilmington (Del.), Chancellor Kathaleen McCormick directed Mr. Musk’s team Wednesday, to search for any additional electronic messages requested by Twitter. She stated that neither party had attempted to stop the litigation.
The judge wrote Wednesday that “the parties have not filed any stipulation to stop this action nor has any party moved towards a stay.” “I, therefore continue to press on towards our trial set for October 17.

The Musk team has been aggressive in requesting broad information from Twitter, including employee communications and data about spam and fake accounts. These requests sometimes caused frustration for Chancellor McCormick. Some requests were granted, but not all. She once called Mr. Musk’s data requests “absurdly wide”.
Experts in legal analysis have maintained that Twitter had the stronger case from the beginning, partly because Musk did not do due diligence before agreeing on the deal. The merger agreement gave Twitter the right of sue him to continue with the deal under a concept called “specific Performance.”
Even if Mr. Musk wins in a trial, it could prove too much for a company as large as Twitter. Most cases involving broken deals end in negotiated settlements, sometimes with a small price reduction. In 2020, the litigation between LVMH Moet Hennessy Louis Vuitton SE (Tiffany & Co.) was a case in point. To avoid a trial, the parties agreed to a price cut of nearly 3%.
Despite Twitter’s potential acquisition by Mr. Musk, its stock price has not fallen. However, it has seen a decline in its performance. The company reported a decline in revenue for the second quarter, which it blamed on the weakness in the advertising industry as well as uncertainty surrounding Mr. Musk’s acquisition.

Musk has not given any details about his plans for Twitter but he stated that he wants to transform Twitter into a private company and unlock its extraordinary potential as an open platform for free speech.

IBM misses first quarter revenue estimates; cuts growth forecast to 6%-8%

Crypto firms scramble to find banking partners as willing lending partners dwindle

National Quantum Mission to be funded at Rs 6K crore by the Centre

The mission will have an outlay of Rs 6,003,65 crore from 2023-24 to 2030-31 and will make India the sixth country with a dedicated quantum mission after the US, Austria, Finland, France and China, science and technology ministerJitendra Singhtold reporters in New Delhi. This will make India the sixth nation to have a quantum mission, after the US and Austria.

The National Quantum Mission, approved by the Union Cabinet under the leadership of Prime Minister Narendra Modi will accelerate quantum-technology-led economic growth in India and nurture the ecosystem. Elon Musk announces he will launch a rival to Microsoft’s ChatGPT

Billionaire Elon Musksaid on Monday he will launch an artificial intelligence (AI) platform that he calls “TruthGPT” to challenge the offerings fromMicrosoftandGoogle. He criticised Microsoft-backed OpenAI, the firm behind chatbot sensation ChatGPT, of “training the AI to lie” and said OpenAI has now become a “closed source”, “for-profit” organisation “closely allied with Microsoft”.

He also accused Larry Page, co-founder of Google, of not taking AI safety seriously. Musk said, “I’m starting something that I call ‘TruthGPT,’ or a maximum truth seeking AI that tries understand the nature of universe,” in an interview aired Monday on Fox News Channel. He said TruthGPT was “likely the best path to security” and would not “annihilate human beings”. It’s just starting late. Musk registered a Nevada-based company named X.AI Corp last month, according to a filing with the state. Musk was listed as the sole director, and Jared Birchall as the managing director of Musk’s family office as secretary.
